Patent Licensing Basics

A patent license grants permission within agreed limits. Understand the difference from assignment and the main terms a licensing discussion may cover.

A patent license gives permission under agreed terms. An assignment transfers ownership interests. The label on an agreement is only a starting point because its actual terms determine the rights transferred or retained.

Define the Permission

A license may address territory, duration, exclusivity, covered products, or a field of use. It can also address sublicensing and which patents or applications the agreement covers.

Read the Commercial Terms

Payment may involve an upfront amount, royalties, or another structure. Reporting, audit rights, termination, and responsibility for patent expenses can be significant parts of an agreement. No standard royalty rate applies to every patent or industry.

Check Who Can Grant the Rights

Ownership, existing agreements, and the scope of the rights offered need attention. A database entry alone is not a complete account of every contractual obligation.

For a general contact request, use the patent-holder form. Give only public identifiers and a short description. Do not upload agreements, negotiating positions, financial information, or privileged communications.
